I'm looking to buy it but so far I saw 2 versions with different box arts. What's the difference between the 2? Rarity difference?

I would like to get the one brand new with the smoky art but I much prefer owning getting all black labels. Does the smoky art have all black labels?

From what I remember, the "smoky" darker box was the first run. The white box was the second run. Both smoky and white have black labels of all 3 games, but none of the games have individual bar codes - it says "part of a set, not for individual sale or exchange" (or something) where the bar codes on the back would be.

Not sure about rarity, but I bought some of the smoky-box collection on clearance at CC for $12 and a month or so after that, the white-box collection came out at Gamestop for $30, I think.
Ah that's good to know. I hope the first run isn't that rare to find around here. Thanks for the tip.
Not to burst your bubble but I doubt the DMC games will hold much value in the "rare" dept. All three hit GH status and while the black versions will likely fetch a little more, I don't see any of them holding huge resale value over time.

The best rule for game collecting is to buy them as CHEAP as you can -- at least that way you can be assured that even if you sell them, you'll, at worst, break even. I have 180 PS2 games, I'd say 95% of which were bought new, and I averaged about $10-11 per game. I'm certain that if I ever sold this collection, it would easily break even and lead to a profit (though if one calculates opportunity costs -- I doubt I'd actually really have profited) ;-)
